TERMS OF SERVICE AGREEMENT

PLEASE READ THE FOLLOWING TERMS OF SERVICE AGREEMENT CAREFULLY. By accessing or using our sites and services, you agree to be bound by these terms and all incorporated terms. It is your responsibility to read these terms before using this site. If you do not agree, please do not use our sites or services. This Terms of Service Agreement is effective as of January 14, 2025.

1. Acceptance of Terms

This Terms of Service Agreement (the “TOS”) is a legally binding agreement governing your relationship with Los Angeles Critical Mass (LACM) and its affiliates regarding the use of the LACM website, including la-criticalmass.org (the “Site”) and its Services.

2. Description of Website Services Offered

LACM is a 501(c)(3) nonprofit organization established in 2024, hosting the largest community bicycle ride in the U.S. every last Friday of the month. Our mission is to cultivate engaging public spaces, advocate for bicycle transportation, and promote health through cycling in Los Angeles and surrounding areas.

3. User Acknowledgment

All visitors to our site are deemed “users.” You acknowledge that the services provided through our website and applications are the sole property of LACM. We may offer additional services or products, and this agreement applies to all updates or modifications.

4. Privacy Policy

Your registration data and personal information are protected by our Online Privacy Policy (see full policy at Privacy Policy). By using our services, you consent to the collection and use of your information as outlined.

5. Global Use Compliance

You agree to comply with all local rules regarding online conduct and acceptable content. You will not upload or transfer software or technology that violates U.S. export laws.

6. Content Submission

You retain ownership of any content you submit. However, by submitting content, you grant LACM a worldwide, royalty-free license to use, reproduce, and display that content as necessary to provide our services.

7. Contributions to the Website

By submitting ideas or suggestions (“Contributions”), you acknowledge that LACM has no obligation to maintain confidentiality and may use your Contributions without compensation.

8. Indemnity

You agree to indemnify LACM and its affiliates from any claims arising from your use of our services or violation of these terms.

9. Commercial Use Restrictions

You agree not to replicate, duplicate, copy, trade, sell, or exploit any part of our site for commercial purposes.

10. Modifications

LACM reserves the right to modify or discontinue services at any time without liability to you or any third party.

11. Advertisers

Any dealings with advertisers found on our site are solely between you and the advertiser. LACM is not liable for any loss or damage incurred from such dealings.

12. Links to Other Websites

LACM is not responsible for the content or availability of third-party sites linked from our site.

13. Proprietary Rights

You acknowledge that LACM’s services and software contain proprietary material protected by intellectual property laws. You agree not to alter or distribute our software without permission.

14. Warranty Disclaimers

LACM provides its services on an “as is” basis. We disclaim all warranties, express or implied, regarding the reliability and performance of our services.

15. Limitation of Liability

LACM is not liable for any indirect, incidental, or consequential damages arising from your use of our services.

16. Release

You release LACM from any claims related to disputes arising from your use of our services.

17. Special Admonition Regarding Financial Matters

LACM’s content is for informational purposes only and should not be relied upon for trading or investment decisions.

18. Exclusions and Limitations

Some jurisdictions do not allow the exclusion of certain warranties, so some limitations may not apply to you.

19. Third-Party Beneficiaries

There are no third-party beneficiaries to this agreement unless expressly stated.

LACM may provide notices regarding changes to the TOS via email or postings on our website.

All trademarks and logos are the property of LACM. You may not use them without prior written consent.

22. Copyright or Intellectual Property Infringement Claims

If you believe your work has been infringed, please contact us with the required information as outlined in this agreement.

23. General Information

Entire Agreement

This TOS constitutes the entire agreement between you and LACM, superseding any prior agreements.

Choice of Law and Forum

This agreement is governed by the laws of California, and any disputes will be resolved in the courts of Los Angeles County.

Waiver and Severability

Failure to enforce any provision of this TOS does not constitute a waiver of that provision.

Statute of Limitations

Any claim arising from your use of our services must be filed within one year.

Please report any violations of this TOS to LACM.
